Website Terms of Use Agreement

This website (the “Site”), located at www.iscgi.com, is owned and operated by Information Systems Consulting Group, Inc. (“ISCG”). Your use of the Site constitutes your agreement to comply with and be governed at all times by all terms and conditions of this Website Terms of Use Agreement (the “Agreement”). If you do not agree with any of the terms of this Agreement, you must immediately cease your use of the Site.

ISCG reserves the right to modify, revise or amend this Agreement at any time in its sole discretion and without notification to you. You agree to be bound by the version of this Agreement that is in effect at the time of your visit to the Site. It is your sole responsibility to view this Agreement each time you visit the Site and to verify that you agree with its then current terms.

Copyright and Intellectual Property:

The Site and all content, images, text, photos, video, graphics, music, sound, logo design, information, and other elements contained on the Site (the “Content”) are original works of authorship and are the property of ISCG or its suppliers. ISCG reserves all rights with respect to the Site and its Content, which are protected by applicable copyright laws.

You are granted a non-exclusive, non-transferable, revocable license to view and print Content on the Site only for your own personal, noncommercial use. Other than the foregoing, you may not sell, publish, show in public, copy, distribute, transmit, display, modify, create derivative works, or use the Site or its Content, in whole or in part, in any manner without ISCG’s prior written permission. You agree that any copy of the Content, in whole or in part, shall contain ISCG’s copyright notice. Under no circumstances shall you use the Site or its Content, in whole or in part, for commercial or other unauthorized purposes, except as permitted by the Copyright Act or other law.

Except as expressly provided above, nothing contained herein shall be construed as conferring any ownership, license, or other right under any ISCG copyright.

Limitation of Liability:

ISCG SHALL NOT BE LIABLE FOR ANY COSTS, EXPENSES, OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ITS CONTENT. IN NO EVENT SHALL ISCG BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RELATED TO THIS AGREEMENT OR RESULTING FROM ANY ACTIONS YOU MAY TAKE BASED ON INFORMATION CONTAINED ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, EVEN IF ISCG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEITHER ISCG, NOR ANY OF ITS SHAREHOLDERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES WILL BE LIABLE OR HAVE ANY RESPONSIBILITY OF ANY KIND FOR ANY LOSS OR DAMAGE THAT YOU INCUR AS A RESULT OF THE SITE OR ITS CONTENT. IF APPLICABLE LAW DOES NOT ALLOW ALL OR ANY PART OF THE ABOVE LIMITATION OF LIABILITY TO APPLY TO YOU, THE LIMITATIONS WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Indemnification:

You agree to indemnify, defend, and hold ISCG and its shareholders, directors, employees, agents, and representatives harmless from any action, cause, claim, damage, judgment, demand or liability (including attorney fees and costs), of any nature, that may arise from your use of or inability to use the information and Content contained on the Site or from your breach of this Agreement.

Reference to Third Parties:

ISCG claims no ownership in, nor any affiliation with, any third-parties mentioned on the Site. No sponsorship or endorsement on the part of ISCG should be inferred from the reference to any third party on the Site.

Suggested Improvements:

If you offer suggestions for improvements or changes to the Site, ISCG shall be free to incorporate such suggested improvements or changes on the Site without remuneration to you of any kind. If your suggested improvements or changes are protected by a third party’s copyright, you agree to disclose such information to ISCG in writing immediately upon becoming aware of such third party copyright.

Breach of Agreement:

In the event you breach any of the terms of this Agreement, ISCG reserves the right to take appropriate action, including, but not limited to, prohibiting you from accessing the Site or bringing legal proceedings against you. Failure to enforce any provision of this Agreement shall not constitute a waiver of any term hereof.

Remedies:

You agree that your obligations hereunder and the terms of this Agreement are reasonable in order to protect ISCG and its business. In addition to any other remedies that may be available, in law, in equity or otherwise, ISCG shall be entitled to obtain injunctive relief against the threatened breach of this Agreement or the continuation of any such breach, without the necessity of proving actual damages. In the event that ISCG prevails in any legal action required to enforce its rights under this Agreement, you shall be responsible for payment of all costs and reasonable legal fees incurred by ISCG. In the event you are dissatisfied with the Site, its Content, or the terms of this Agreement, your sole and exclusive remedy is to cease your use of the Site.

Termination:

ISCG may terminate or suspend access to the Site for any reason at any time, without prior notice. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, but not limited to, ownership and copyright provisions, warranty disclaimers, indemnification, and limitation of liability.

Governing Law: 

This Agreement and any dispute arising hereunder will be governed and interpreted in accordance with the laws of the State of Illinois, U.S.A., without regard to conflict of law provisions, no matter where you may be located. You agree and consent to the exclusive jurisdiction and venue of the state or federal courts in the State of Illinois in all disputes arising out of or relating to this Agreement.

Assignment:

ISCG may assign this Agreement to any person or entity at any time without your consent. You may not assign any rights or obligations under this Agreement without ISCG’s prior written consent, and any unauthorized assignment by you shall be void.

Entire Agreement:

This Agreement constitutes the entire agreement with respect to your access to and use of the Site. This Agreement supersedes any proposal or prior agreement, oral or written, and any other communication between you and ISCG. If any provision of this Agreement shall be held by a court of competent jurisdiction to be unlawful, void or unenforceable, then that provision will be construed consistent with applicable law and shall not affect the validity and enforceability of the remaining terms.

ISCG Website Privacy Policy

ISCG respects your right to privacy. We invite you to visit the Site without revealing who you are. Your use of the Site constitutes your acceptance of this privacy policy. If you do not agree with any of the terms of this privacy policy, you must immediately cease your use of the Site. In the event you are dissatisfied with the Site, its Content, or the terms of this privacy policy, your sole and exclusive remedy is to cease your use of the Site.
